Waiver

1. NATURE OF THE PLATFORM

• JoGo.Team ("the Platform") is a digital service that provides an interface for users to discover, list, communicate about, and coordinate independently-organized recreational soccer activities.
• JoGo.Team does not organize, supervise, manage, operate, staff, coach, referee, or otherwise control any games, practices, events, or related activities listed on the Platform.
• All games listed on the Platform are independently organized and conducted by individual hosts or community organizers ("Hosts"), who are not employees, agents, partners, joint venturers, or representatives of JoGo.Team.
• JoGo.Team is not a sports league, club, tour operator, event organizer, training provider, coaching service, or insurer.
• Participation in any activity listed on the Platform is voluntary and entirely at the participant's own risk.

2. PLATFORM LIABILITY DISCLAIMER

By using the Platform or participating in any listed game or activity, the Participant acknowledges and agrees that:

• JoGo.Team does not inspect, verify, or control the condition or safety of any fields, facilities, parking areas, restrooms, or equipment used in the games.
• JoGo.Team does not screen, vet, train, certify, or background-check Hosts or other participants.
• JoGo.Team does not provide referees, coaches, medical personnel, first-aid, security, supervision, or insurance coverage of any kind.
• JoGo.Team has no duty to monitor, manage, or ensure the conduct or safety of any participant, Host, or third party.
• Listings on the Platform are not endorsements. JoGo.Team makes no representations or warranties about any Host, venue, or activity.
• The Platform is solely a listing and communication tool to help users coordinate their own recreational activities.

Accordingly, JoGo.Team, its owners, officers, employees, contractors, affiliates, and licensors assume no responsibility or liability for any injury, loss, or damage of any kind sustained before, during, or after participation in activities listed on the Platform.

3. INHERENT RISKS OF PARTICIPATION

The Participant acknowledges that soccer and related activities involve inherent and unavoidable risks, including but not limited to:

• Physical contact, collisions, sprains, fractures, concussions, cardiac events, heat stroke, and death;
• Slips, trips, falls, and contact with playing surfaces, goal posts, fences, or other equipment;
• Weather exposure including heat, cold, rain, wind, lightning, hail, and air quality events;
• Exposure to or transmission of communicable diseases, including but not limited to COVID-19, influenza, and other airborne, contact-borne, or surface-borne illnesses;
• Conduct of other participants, spectators, Hosts, or third parties — including negligent, reckless, or intentional acts;
• Travel to and from the venue;
• Conditions of the field, venue, parking lot, restrooms, lighting, or surrounding area;
• Loss, theft, or damage to personal property.

The Participant voluntarily and knowingly assumes all such risks, whether or not specifically listed above, including risks that may not be foreseeable.

4. RELEASE OF LIABILITY AND WAIVER OF CLAIMS

By using the Platform or participating in any soccer game, match, event, or activity listed on JoGo.Team, the Participant hereby waives, releases, and forever discharges:

• JoGo.Team, its founders (including its owner and operators based in Austin, Texas), officers, directors, employees, agents, contractors, affiliates, licensors, and successors;
• Independent Hosts and organizers who list or manage games through the Platform;
• Venue owners, landlords, field operators, and facility managers where games take place;
• Other participants in any activity listed on the Platform;

(collectively, the "Released Parties") from any and all claims, demands, damages, costs, actions, or causes of action — known or unknown, anticipated or unanticipated — arising out of or related to participation in such activities, including but not limited to:

• Personal injury, bodily harm, illness, infection, or death;
• Property damage, theft, or loss;
• Negligence, errors, or omissions by any Released Party;
• Actions of other participants or third parties;
• Any condition of the field, venue, or equipment;
• Emotional distress or reputational harm.

This release applies to the fullest extent permitted by law in the jurisdiction where the game occurs. It does not release the Released Parties from liability for gross negligence, willful misconduct, or any other claim that cannot be released by law.

5. CALIFORNIA CIVIL CODE §1542 WAIVER

If the Participant is a California resident, the Participant expressly waives the protections of California Civil Code §1542, which states:

"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

The Participant intends this release to apply to all claims, including those not yet known or suspected.

6. THIRD-PARTY BENEFICIARIES

Each Released Party — including all Hosts, venue operators, and other participants — is an intended third-party beneficiary of this Waiver and may enforce its terms directly against the Participant.

7. NO AGENCY, EMPLOYMENT, OR JOINT VENTURE

Nothing on the Platform or in this Waiver creates any employment, agency, partnership, joint venture, franchise, or fiduciary relationship between JoGo.Team and any Host, participant, venue, or other user. Hosts list activities solely in their own name and on their own account.

8. PARTICIPANT ASSUMPTION OF RISK AND CONDUCT

The Participant:

• Represents that they are in good health and physically fit to participate;
• Assumes full responsibility for assessing their own physical condition, the conditions of the venue, weather, and any other circumstances before and during participation;
• Voluntarily accepts all risks of injury, illness, communicable disease, or property damage;
• Agrees to take all reasonable precautions to prevent harm to themselves and others, and to follow all rules set by the Host and venue;
• Understands that no medical coverage, accident insurance, or liability insurance is provided by JoGo.Team or the Hosts;
• Is encouraged to maintain their own health, medical, and personal liability insurance.

9. MINORS

JoGo.Team is primarily intended for adults. A participant under 18 (a “Minor”) may take part only if a parent or legal guardian makes the reservation on their behalf. The reservation notice states that the person reserving is 18 or older, or is a parent or guardian consenting for a Minor, and reserving constitutes that person’s acceptance of this Release. Where a parent or legal guardian reserves for a Minor, that parent or legal guardian: (a) agrees to this Release, Waiver, and Assumption of Risk on their own behalf and on behalf of the Minor; (b) knowingly assumes all risks of the Minor’s participation; (c) represents that they have legal authority to bind the Minor; and (d) agrees to indemnify, defend, and hold harmless the Released Parties from any claim brought by or on behalf of the Minor, to the fullest extent permitted by law. JoGo.Team records this electronic acceptance — including the notice text shown, the time, the language, and the network address it came from — but does not supervise activities, verify age, or verify guardianship.

10. HOST AND ORGANIZER LIABILITY WAIVER

Participants acknowledge and agree that:

• Each game or event listed through JoGo.Team is organized independently by a Host, who may be a private individual, volunteer, or community group.
• Hosts (including the owner of JoGo.Team when acting as a Host in Austin, Texas, or anywhere else) are not liable for any injuries, damages, or losses sustained by participants before, during, or after the game.
• Participants release all Hosts and fellow players from any and all claims related to accidents, injuries, illness, or incidents occurring on or off the field.
• Each participant plays entirely at their own risk and is solely responsible for their safety and wellbeing.

Hosts may, at their discretion, require additional waivers, age verifications, or acknowledgements before participation. By joining a game, participants agree to comply with any such additional conditions. JoGo.Team is not a party to and has no responsibility for any such additional agreements.

11. VENUE-SPECIFIC WAIVERS

Some venues, fields, parks, schools, or facilities may require participants to sign their own waivers, releases, or codes of conduct as a condition of entry. Such agreements are strictly between the Participant and the venue. JoGo.Team is not a party to, and disclaims all responsibility for, any venue-imposed waiver, rule, or condition.

12. BINDING ARBITRATION, CLASS-ACTION WAIVER, AND JURY-TRIAL WAIVER

To the maximum extent permitted by applicable law, the Participant and JoGo.Team agree that:

• Any dispute, claim, or controversy arising out of or relating to the Platform, this Waiver, or any activity listed on the Platform shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in Travis County, Texas (or by remote/online proceeding where the AAA permits).
• The Participant and JoGo.Team each waive any right to bring, participate in, or recover from any class action, collective action, mass action, or representative proceeding.
• The Participant and JoGo.Team each waive any right to a trial by jury.
• Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction for intellectual-property infringement or to enforce an arbitration award.
• The Participant may opt out of this arbitration provision within 30 days of first creating a JoGo.Team account by sending written notice through the contact form on the Platform; opting out does not affect any other provision of this Waiver.

If any portion of this Section 12 is found unenforceable, the remainder shall remain in effect, except that if the class-action waiver is found unenforceable as to any particular claim, that claim shall be litigated in court — but on an individual basis — and the rest of this Section 12 shall remain in arbitration.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• JoGo.Team and the other Released Parties shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or loss of goodwill, even if advised of the possibility of such damages.
• JoGo.Team's aggregate liability arising out of or related to the Platform, this Waiver, or any listed activity shall not exceed the greater of (a) the total amount the Participant paid to JoGo.Team in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

14. INDEMNIFICATION

The Participant agrees to indemnify, defend, and hold harmless the Released Parties (including JoGo.Team, its owner(s), employees, and all Hosts and venue operators) from any and all claims, losses, damages, liabilities, costs, and expenses — including reasonable attorneys' fees — arising from or related to the Participant's use of the Platform, participation in any listed activity, breach of this Waiver, or violation of any applicable law or third-party right.

15. MEDIA RELEASE

The Participant grants JoGo.Team and the Hosts a perpetual, royalty-free, worldwide right to use photos, videos, voice recordings, or other media taken during games for promotional, informational, editorial, or community purposes, without compensation or further approval. The Participant waives any right to inspect or approve such uses.

16. FORCE MAJEURE

JoGo.Team and the Hosts are not liable for any failure or delay in the listing, availability, or holding of any activity caused by events beyond their reasonable control, including acts of God, weather, natural disasters, epidemics, pandemics, public-health orders, government actions, labor disputes, utility or telecommunications failures, internet outages, or third-party service disruptions.

17. GOVERNING LAW AND JURISDICTION

For Participants located in the United States, this Waiver is governed by the laws of the State of Texas, without regard to conflict-of-law principles. Subject to Section 12 (arbitration), any non-arbitrable dispute shall be brought exclusively in the state or federal courts located in Travis County, Texas.

For Participants located in Canada, this Waiver is governed by the laws of the province where the activity occurs.

For Participants located outside the United States and Canada, mandatory consumer-protection laws of the Participant's country of residence may override the choice of law and forum above to the extent required by law. Nothing in this Waiver is intended to deprive a consumer of rights that cannot be waived under such mandatory local law.

18. SEVERABILITY AND SURVIVAL

If any provision of this Waiver is held invalid or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect. Sections 4 (Release), 5 (§1542), 6 (Third-Party Beneficiaries), 12 (Arbitration), 13 (Limitation of Liability), 14 (Indemnification), and 17 (Governing Law) survive any termination of the Participant's use of the Platform.

19. CHANGES TO THIS WAIVER

JoGo.Team may update this Waiver from time to time. The current version will be posted at this URL with an updated Effective Date. Continued use of the Platform after an update constitutes acceptance of the updated Waiver.
